These Terms of Service (“Terms”) govern your access to and use of the UXI and Luna platform (the “Service”) operated by UXI Digital (“we,” “us,” “our”). By creating an account, accessing the Service, or using any feature of UXI or Luna, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. If you use the Service on behalf of a production company, employer, or other organization, you represent that you have authority to bind that organization to these Terms.
UXI provides AI‑powered motion graphics tooling and Luna provides production management features for film and television — including scheduling, call sheets, crew management, budget tracking, messaging, and AI assistance. Features evolve over time and we may add, modify, or remove functionality at our discretion.
Paid plans are billed through Stripe, a PCI‑DSS compliant payment processor. By subscribing, you authorize us and Stripe to charge your designated payment method on a recurring basis (monthly or annual, depending on your plan).
You authorize recurring charges to your selected payment method for the subscription fee, applicable taxes, and any usage‑based charges associated with your plan, until you cancel.
We do not collect or store full credit card numbers, CVV codes, or bank account details. Payment information is collected directly by Stripe through PCI‑DSS compliant forms. We receive only a Stripe customer ID, subscription status, last four digits of your card, and invoice history.
Subscriptions automatically renew at the end of each billing period at the then‑current rate unless cancelled. You may cancel at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; you retain access through that date.
Except where required by law, fees are non‑refundable. Partial billing periods are not prorated upon cancellation. We may, at our sole discretion, issue refunds for service outages, billing errors, or other extraordinary circumstances.
If your plan includes a free trial, your payment method will be charged the subscription fee at the end of the trial unless you cancel before it expires.
We may change subscription prices with at least 30 days’ notice via email or in‑app notification. Price changes take effect at your next renewal. Continued use of the Service after a price change constitutes acceptance.
If a payment fails, we may retry the charge and may suspend or downgrade your account if payment cannot be collected. Fees are exclusive of taxes; you are responsible for all sales, use, VAT, GST, or similar taxes associated with your subscription, except taxes based on our net income.
Initiating a chargeback without first contacting support@uxi.digital may result in immediate account suspension. We are committed to resolving billing issues directly and quickly.
Luna may send SMS, MMS, RCS, WhatsApp, or similar messaging communications related to your productions, account, schedules, call sheets, crew updates, reminders, security codes, and other operational notices.
By providing a phone number, enabling text notifications, inviting users by phone number, or otherwise using Luna’s messaging features, you agree that Luna may send messages to that number for the purposes described above. Message frequency varies based on your use of Luna and production activity. Message and data rates may apply.
You may opt out of text messages at any time by replying STOP to a message. You may request help by replying HELP or contacting us at support@uxi.digital. After you opt out, Luna may send one final message confirming your opt‑out. Opting out of messages may limit your ability to receive important production updates.
Carriers are not liable for delayed or undelivered messages.
You agree not to use Luna’s messaging features to send unlawful, deceptive, unwanted, abusive, or spam messages. You may not use Luna to send bulk unsolicited messages, evade opt‑out systems, disguise sender identity, spread messages across numbers to avoid detection, or send content prohibited by law, carrier rules, Twilio’s Acceptable Use Policy, or Luna’s acceptable use rules.
If you add, invite, upload, or message another person through Luna, you represent that you have the right and all required consent to contact that person by text or other messaging channels. You are responsible for ensuring that any crew member, vendor, talent, client, or other recipient has consented to receive the messages you initiate through Luna. You must not message anyone who has opted out or withdrawn consent.
Luna may suspend or disable messaging features if we believe your use violates applicable law, telecommunications rules, carrier requirements, Twilio requirements, or these Terms.
We do not sell, rent, or share mobile phone numbers, SMS opt‑in data, or messaging consent information with third parties or affiliates for their own marketing or promotional purposes. We may share mobile information with service providers only as needed to operate Luna’s messaging services. See our Privacy Policy for full details.
You retain all ownership rights to the content you upload, create, or submit to the Service — including scripts, productions, projects, animations, schedules, call sheets, crew records, and AI prompts (collectively, “Your Content”).
You grant us a worldwide, non‑exclusive, royalty‑free license to host, store, transmit, display, and process Your Content solely as necessary to operate and improve the Service for you. This license ends when you delete the content or close your account, except for backups retained for up to 30 days.
You represent that you have all rights, consents, and permissions necessary to upload Your Content and that it does not infringe any third‑party rights or violate any law.

The Service uses third‑party AI providers (including OpenAI and Anthropic) to power features such as script parsing, scheduling suggestions, and email classification. AI outputs are generated probabilistically and may be inaccurate, incomplete, or reflect biases of the underlying models.
The Service, including all software, design, branding, and documentation, is owned by UXI Digital and is protected by intellectual property laws. We grant you a limited, non‑exclusive, non‑transferable license to use the Service in accordance with these Terms. No other rights are granted by implication.
Feedback. If you send us suggestions or feedback about the Service, you grant us a perpetual, royalty‑free license to use it without restriction.
We use a small number of strictly necessary cookies and browser local storage to keep you signed in, remember preferences, and enable core features. We do not use advertising cookies, cross‑site tracking pixels, or session replay tools. Full details are in our Privacy Policy.
The Service integrates with third‑party providers including Supabase, Vercel, Stripe, Twilio, Resend, Google APIs, Microsoft Graph, OpenAI, and Anthropic. Your use of those services through Luna is subject to their respective terms. We are not responsible for outages or content delivered by third parties.
You may close your account at any time from settings. We may suspend or terminate your account, with or without notice, if you breach these Terms, fail to pay fees, or use the Service in a way that exposes us, our users, or our providers to risk or legal liability.
Upon termination, your right to use the Service ends. We may delete your data after termination, subject to backup retention described in our Privacy Policy.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non‑infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error‑free, that defects will be corrected, or that AI outputs will be accurate or suitable for any particular purpose.
Luna is a tool to assist production planning. It does not replace legal, accounting, union compliance, or labor advice. Always verify call sheets, payroll calculations, and union rules with qualified professionals.
To the maximum extent permitted by law, UXI Digital, its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or production delays — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising from or related to the Service is limited to the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
You agree to indemnify and hold harmless UXI Digital from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or applicable law, or (d) your messaging activity, including messages sent without recipient consent.
These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws rules. The exclusive forum for any dispute arising from these Terms or the Service is the state and federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting support@uxi.digital. If we cannot resolve it within 60 days, either party may proceed to court.
We may update these Terms from time to time. Material changes will be communicated via in‑app notification or email at least 14 days before they take effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance.
